1Acceptance of Terms
By accessing or using the website, application, and services provided by Finally, LLC ("Finally," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately discontinue use of our Services.
These Terms constitute a legally binding agreement between you and Finally, LLC, a limited liability company registered in the State of Georgia, United States.
2. Eligibility & Age Requirements
Important restrictions on who may use this Service.
2.1 Minimum Age: The Service is intended for users who are at least thirteen (13) years of age. By creating an account, you represent and warrant that you are at least 13 years old.
2.2 Parent & Guardian Accounts: Parents or legal guardians may create and maintain accounts to use the Service with or on behalf of their children under 13. In such cases, the parent or guardian is the account holder, assumes full responsibility for all account activity, and agrees to these Terms on behalf of themselves. The adult account holder is solely responsible for any use of the Service by minors under their supervision.
2.3 Parental Responsibility: If you permit a minor to use the Service under your account, you agree to: (a) supervise the minor's use of the Service; (b) assume all risks associated with the minor's use; and (c) accept full responsibility for all content submitted and activity conducted under your account.
Notice: Children under 13 are strictly prohibited from creating their own accounts. Any account discovered to be held by a user under 13 without proper parental oversight may be terminated immediately.
3Description of Service
Finally provides an AI-powered educational platform that allows users to upload study materials, generate interactive learning maps ("Finally Maps"), create quizzes, flashcard decks, and AI-generated mnemonics, and track their learning progress. The Service includes cloud file storage for your uploaded materials. The Service is designed as a supplementary study aid to facilitate learning and retention.
3.1 Beta Status: You acknowledge that the Service may be in a beta or early-access phase. Features may be added, modified, or removed at any time without prior notice. The Service is provided on an "AS IS" and "AS AVAILABLE" basis during this period.
4. AI Disclaimer & Accuracy
Critical information — please read carefully.
4.1 AI-Generated Content: The Service utilizes third-party artificial intelligence and large language model ("LLM") technology to generate educational content. We make NO REPRESENTATIONS OR WARRANTIES regarding the accuracy, reliability, completeness, or correctness of any AI-generated content, including but not limited to quizzes, flashcards, mnemonics, summaries, and learning maps.
4.2 AI Hallucinations: You expressly acknowledge and understand that AI models may produce "hallucinations" — content that appears plausible but is factually incorrect, misleading, or fabricated. The Service may misinterpret your uploaded materials, omit critical information, or generate erroneous answers.
4.3 Third-Party AI Services: Content generation is powered by third-party AI providers. Your use of AI-generated features is additionally subject to the terms and policies of these providers. We do not control and are not responsible for how third-party AI providers process, store, or use data transmitted to their systems.
4.4 User Responsibility: YOU ARE SOLELY RESPONSIBLE for independently verifying all AI-generated content against your original source materials, textbooks, and authoritative references before relying on such content for academic study, examinations, or any other purpose. Finally, LLC shall not be held liable for any academic consequences, including but not limited to poor grades, failed examinations, or academic integrity violations, resulting from reliance on AI-generated content.
5User Accounts
5.1 Account Creation: Accounts are created exclusively through Google OAuth authentication. By creating an account, you authorize us to access and use certain information from your Google account as permitted by your Google privacy settings.
5.2 Account Security: You are responsible for maintaining the security of your Google account credentials and for all activities that occur under your Finally account. You agree to notify us immediately of any unauthorized access or security breach.
5.3 Account Termination: We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, or conduct harmful to other users or the Service.
6User Content & Intellectual Property
6.1 Your Content: You retain full ownership of the documents, notes, and materials you upload to the Service ("User Content"). We do not claim any ownership rights over your User Content.
6.2 License Grant: By uploading User Content, you grant Finally, LLC a limited, non-exclusive, royalty-free license to process, transmit, and temporarily store your content solely for the purpose of providing the Service to you, including transmitting content to third-party AI providers for processing.
6.3 Generated Content: Content generated by the Service based on your User Content (including Finally Maps, quizzes, flashcards, and mnemonics) is provided to you for personal, educational use. You may not resell, redistribute, or commercially exploit generated content.
6.4 Prohibited Content: You agree not to upload content that: (a) infringes on any third party's intellectual property rights; (b) contains malicious code or malware; (c) is unlawful, harmful, or objectionable; or (d) violates any applicable laws or regulations.
7. File Storage & Automatic Saving
How your uploaded files are stored and managed.
7.1 Automatic File Storage: All files you upload to the Service (including documents, images, PDFs, and text files) are automatically saved to your personal file library ("My Files"). This automatic storage is a core feature of the Service designed to help you organize and access your study materials.
7.2 Storage Limits: Free accounts are subject to storage limits (currently 50MB total storage and 5MB per file). Premium accounts receive expanded storage (currently 500MB total storage and 25MB per file). We reserve the right to modify these limits with reasonable notice.
7.3 File Management: You may organize, rename, tag, and delete your stored files at any time through the Service interface. Deleted files are permanently removed and cannot be recovered.
7.4 File Visibility: By default, all uploaded files are private and only accessible to you. You may choose to make files "unlisted" (accessible via direct link) or "public" (discoverable by other users). You are solely responsible for managing the visibility settings of your files.
7.5 Linked Content: Files may be linked to Finally Maps, quizzes, flashcard decks, or mnemonics you create. Deleting a file may affect the functionality of linked content.
Important: We recommend maintaining backups of important files outside the Service. While we implement reasonable data protection measures, we do not guarantee against data loss.
8. Payments & Billing
Subscription and payment terms.
8.1 Payment Processing: All payments are processed securely through Stripe, Inc. ("Stripe"). By providing payment information, you agree to Stripe's terms of service and privacy policy. We do not directly store your full credit card details.
8.2 Subscription Plans: Paid features are offered on a subscription basis. Prices are listed in United States Dollars (USD). We reserve the right to modify pricing with reasonable notice to existing subscribers.
8.3 Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.
8.4 Refunds: Refund requests are handled on a case-by-case basis. We offer a seven (7) day money-back guarantee for first-time subscribers who are not satisfied with the Service.
9Accountability Partner Features
9.1 Notification Services: The Service may offer features allowing you to designate accountability partners who receive notifications about your study activity via SMS text message or email.
9.2 Third-Party Consent: By adding an accountability partner, you represent and warrant that you have obtained the consent of that individual to receive communications on your behalf. You are solely responsible for ensuring such consent.
9.3 Messaging Fees: Standard SMS and data rates may apply to notifications sent to accountability partners. You are solely responsible for any carrier charges incurred by you or your designated accountability partners in connection with these notifications.
9.4 Content of Notifications: Notifications sent to accountability partners contain limited information about your study activity, such as whether you completed a study session. Detailed performance data, quiz scores, or personal content is not shared with accountability partners.
10Academic Integrity
Finally is designed exclusively as a supplementary study and learning aid. You expressly agree NOT to use the Service for:
- Cheating on examinations, quizzes, or assignments
- Submitting AI-generated content as your own original work
- Violating the academic integrity policies of your educational institution
- Any form of academic dishonesty or misconduct
You are solely responsible for understanding and complying with your institution's academic integrity policies.
11Limitation of Liability
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO US, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY CONTENT PROVIDED THROUGH THE SERVICE.
13Modifications to Terms & Service
13.1 Terms Modifications: We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on the Service. Your continued use of the Service following any changes constitutes acceptance of the revised Terms.
13.2 Service Modifications: We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you.
14Termination
14.1 Termination by You: You may terminate your account at any time by contacting us or using the account deletion feature within the Service.
14.2 Termination by Us: We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including breach of these Terms.
14.3 Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may retain or delete your User Content (including stored files) in accordance with our Privacy Policy and internal data retention schedules, typically within fourteen (14) days of termination.
15Governing Law & Disputes
15.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.
15.2 Dispute Resolution: Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Georgia. You consent to the personal jurisdiction of such courts.
